Terms and Conditions of Service

Welcome to IQ-Suite (hereinafter, "the Platform", "We", or "the Service"). By creating an account, checking the "I accept the Terms and Conditions" box, or using our software, you (hereinafter, "the Client" or "the User") agree to be legally bound by this agreement. If you do not agree with these terms, you must not use our service.

1. Service Description and Territorial Eligibility

IQ-Suite provides a Software as a Service (SaaS) that allows Users to create and deploy Artificial Intelligence-based virtual assistants on their own websites to interact with their end visitors.

Territorial Exclusion: IQ-Suite is designed and directed exclusively at entities operating within the United States. We reserve the right to cancel accounts operating in European jurisdictions or other areas subject to strict data regulations outside the U.S. (e.g. GDPR).

2. Nature of Artificial Intelligence and Liability Disclaimers

The Client expressly understands and agrees that our service uses advanced language models and generative Artificial Intelligence (e.g. Anthropic).

Hallucinations and Errors: AI may, on occasion, generate inaccurate or out-of-context responses. IQ-Suite is NOT responsible for any loss of sales, bad advice, reputational damage, or claims arising from the assistant's responses.

Data Synchronization Limitation (Frozen Data): The Client understands that the assistant bases its responses on a static data extraction from their website, limited to a maximum number of monthly synchronizations according to their plan (e.g. 2 per month). IQ-Suite does not automatically update this information in real time. It is the Client's sole responsibility to use their synchronization quotas when modifying prices or policies. IQ-Suite assumes no responsibility for responses based on outdated information after exhausting said quotas.

Non-Binding Nature and Manipulation Risk (Prompt Injection): The AI assistant is a strictly informational and guidance tool. The Client accepts that end users may intentionally attempt to manipulate the system to force inappropriate responses or false promises. No response, offer, or statement generated by the AI constitutes a legally binding contract or financial commitment on behalf of the Client or IQ-Suite.

3. Acceptable Use and Restrictions

By installing our assistant, the Client agrees NOT to use the service to:

  • Promote illegal activities, fraud, spam, or identity theft.
  • Generate regulated professional advice (medical, legal, or financial).
  • Intentionally solicit or collect Sensitive Information (e.g. credit cards, passwords) through the chat.

IQ-Suite reserves the right to immediately suspend any account that violates these rules or abuses system resources.

4. Privacy, Data Processing, and Retention

Legal Roles: The Client acts as "Data Controller" for their visitors' information, and IQ-Suite acts solely as "Data Processor." It is the Client's strict obligation to have their own Privacy Policy visible on their website informing about the use of third-party AI.

Usage Analytics (No PII): The IQ-Suite widget collects aggregate, non-personally-identifiable metrics about traffic sources (e.g. clicks from social media) to display in the Client's dashboard. The widget does not track or store visitor IP addresses.

Automatic Data Retention and Deletion: IQ-Suite is not a long-term storage service. Chat histories are temporarily retained in the database according to time limits specified in the contracted plan (e.g. 7, 30, or 90 days). Once this period is exceeded, they will be deleted from the Client's interface.

Backup Responsibility and Anti-Fraud Evidence: IQ-Suite provides chat histories as a measure to audit possible false claims from end users. It is the Client's strict and sole responsibility to export (CSV/PDF) and backup these records regularly. IQ-Suite will not assume legal responsibility if the Client is unable to defend against extortion due to their negligence in not exporting the histories within the retention period.

5. Payments, Subscriptions, and Refunds

The service operates under a subscription model billed in advance through Stripe. The Client may cancel at any time from their dashboard.

No Refund Policy: Due to the high costs of Artificial Intelligence infrastructure, we do not offer refunds for already-billed periods, unused fractions of a month, or remaining message credits.

6. Maximum Liability Limitation and Force Majeure

The service is provided "AS-IS." To the maximum extent permitted by law, IQ-Suite's total and cumulative liability to the Client for any claim shall never exceed the total amount the Client has paid us during the last three (3) months prior to the event giving rise to the claim. IQ-Suite shall not be liable for service interruptions arising from outages in third-party AI provider APIs (e.g. Anthropic).

7. Indemnification

The Client agrees to defend, indemnify, and hold harmless IQ-Suite and its directors, employees, and affiliates from any claim, damage, obligation, loss, or expense (including reasonable attorney fees) arising from: (i) the use of the Platform by the Client or their end visitors; (ii) the Client's violation of these Terms; or (iii) claims from end users based on responses generated by the AI assistant on the Client's website.

8. Intellectual Property

The source code, design, algorithms, and brand of IQ-Suite are our exclusive property. The Client receives a limited, revocable, and non-exclusive license to use the chat widget (via Iframe) while maintaining an active subscription. The Client retains ownership of the texts from their own website used for synchronization.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed and construed exclusively in accordance with the laws of the State of Utah, United States, without giving effect to any principles of conflicts of laws. Any dispute, claim, or controversy arising out of or related to this agreement shall be resolved through binding and confidential arbitration administered in the State of Utah. The Client expressly waives their right to participate in class action lawsuits (Class Action Waiver) or jury trials against IQ-Suite.
